"Collection" means any and all information obtained from the Investor for the purpose of providing the financial and other information of Zimmer Biomet. Collection also means any and all information obtained about the Investor from other third party sources for the purpose of tailoring the Investor Relations web site to the preferences of the Investor.
"Consent" means voluntary agreement with the collection, use, retention and disclosure of information for the purposes for which Investor registered for Zimmer Biomet's Investor Relations Website. Express Consent is obtained explicitly, in writing, from the Investor.
"Disclosure" means making available Personal Information and business information about the Investor to third party government agencies or organizations outside of Zimmer Biomet.
"Investor" means any institution or individual that has registered or interacted with Zimmer Biomet's Investor Relations Website.
"Organization" means a business, financial institution, association, partnership, person, or trade union.
"Personal Information" means any information about the Investor, recorded in any form, that is identifiable to an individual either directly or by inference from the information.
"Transfer" means filing or otherwise transferring Personal Information and business information from the Zimmer Biomet Investor Relations Website to another Zimmer Biomet location, from a Zimmer Biomet location to a Zimmer Biomet business affiliate, from the Zimmer Biomet Investor Relations web site to a financial information provider, or through any outside internet service providers, for the purposes consented to by the Investor.
"Use" means the tabulation of information obtained from the Investor and other third party sources, as well as the recordation of an Investor's interaction with the Zimmer Biomet Investor Relations Website.
COLLECTION, USE AND TRANSFER OF PERSONAL INFORMATION
Purpose: The primary purpose for the collection, use and transfer of an Investor's Personal Information by Zimmer Biomet, its employees, and representatives, is to obtain all pertinent and necessary information for providing financial and other information to the Investor.
Collection: Personal Information will be collected, to the extent possible, directly from the Investor. Where Personal Information is not available from the Investor, but may be obtained from a financial institution, government agency, or other third party source, Personal Information may be collected from those sources. Personal Information that is collected from, and about, the Investor is limited to only that information that is required by our information provider.
Use and Transfer: Personal Information that is collected via Zimmer Biomet's Investor Relations Website will be transferred from Zimmer Biomet's web host to Zimmer Biomet's financial information provider. Personal Information that is collected in the interaction with an Investor also will be transferred to Zimmer Biomet for its internal business purposes. Personal Information also will be transferred to an advertising management partner (see DoubleClick Disclosure below). The Personal Information is not otherwise used or disclosed to any third party organizations for any reason outside the purposes stipulated above. Any data that is aggregated for statistical or business monitoring purposes will be rendered anonymous so as not to be identifiable to the Investor.
When an Investor registers with Zimmer Biomet's Investor Relations Website, the Investor consents and agrees to the following:
a. Zimmer Biomet may collect, use, retain, disclose and/or transfer all Personal Information about the Investor for the purposes set out above;
b. The Investor has a right to access or correct data collected by Zimmer Biomet;
c. The Investor accepts the risks that may be associated with electronic transmission of Personal Information when interacting with the Zimmer Biomet Investor Relations Website;
d. Zimmer Biomet has the right to disclose Personal Information about the Investor in response to a subpoena, court order or other legal process.
Zimmer Biomet endeavors to maintain physical, procedural and technological security at its offices, its web sites, and information storage facilities to prevent any loss, misuse, unauthorized access, inadvertent disclosure or modification of Personal Information.
Zimmer Biomet further protects Personal Information obtained through the Investor Relations web site by restricting access to such Personal Information to those employees that have authorized access in order for Zimmer Biomet to provide services to its Investors. Zimmer Biomet has a policy under which employee misuse of Personal Information is treated as a serious offense for which disciplinary action may be taken.
Regarding electronic transmission of Personal Information during the Investor's registration and use of the web site, there is no method of transmitting or storing data that is completely secure. Although Zimmer Biomet uses all reasonably available technological security in the transmission of information to and from Investors, all Internet transmissions are susceptible to possible loss, misrouting, interception and misuse. Before Personal Information is transferred or disclosed by electronic transmission, consent to such means of transfer will be sought from the Investor.
ACCESS TO PERSONAL INFORMATION
Zimmer Biomet permits an Investor to access and review the Personal Information it holds about the Investor. To access and/or edit your personal information, please click here. To protect against fraudulent requests for access, Zimmer Biomet will require sufficient information or proof of identification from the Investor before granting access or making corrections to the Investor's Personal Information.
Zimmer Biomet reserves the right to refuse access to Personal Information about an Investor where the information requested:
a. Concerns another individual or Zimmer Biomet Investor and no consent has been granted by that Investor for such access;
b. May harm or interfere with law enforcement activities and other investigative functions of a body authorized by statute to perform such functions;
c. Is subject to attorney-client or litigation privilege; or
d. Does not exist, is not held, or cannot be found by Zimmer Biomet.
Where Personal Information will not or cannot be disclosed, the Investor making the request will be provided with reasons for the non-disclosure within 30 days after receipt of the request and confirmation of the Investor's identity.
Zimmer Biomet reserves the right to decline to respond to repetitious or vexatious requests for access. In determining whether a request is repetitious or vexatious, Zimmer Biomet will consider such factors as the purpose for which the Personal Information was collected and used, the nature of the information being requested by the Investor, and the frequency with which the Investor repeats the same or similar access request.
Where an Investor requests deletion of Personal Information held by Zimmer Biomet, Zimmer Biomet reserves the right to refuse such a request to the extent that its retention of Personal Information is required by the Securities and Exchange Commission, other national or state securities regulatory agencies or applicable laws.
Zimmer Biomet endeavors to ensure that any Personal Information provided by its Investors and in its possession is accurate, current and complete as necessary for the purposes for which the Personal Information is used and transferred. Any concern or complaint by an Investor about Zimmer Biomet's or an employee's management of an Investor's Personal Information should be directed to Zimmer Biomet Investor Relations. All complaints received will be investigated promptly and the Investor will be advised of the results of the investigation. Where corrective or disciplinary action is indicated by the investigation, Zimmer Biomet will take such corrective and/or disciplinary action promptly.
The Parties acknowledge that they had a right or opportunity to litigate disputes through a court in front of a judge or jury, but that they preferred to resolve any disputes through arbitration.
With respect to the cost of the arbitration, when an Investor initiates arbitration against Zimmer Biomet, the Investor will be required to pay the Consumer Complaint filing fee and one-half the fee for a Participatory Hearing, up to a total of $250. All other costs of the arbitration, excluding attorneys' fees, if any, incurred by Investor, shall be borne by Zimmer Biomet as a Consumer Complaint. Investor may, at his or her expense, hire an attorney to represent him or her during the mediation and/or arbitration process.
Zimmer Biomet retains Personal Information as long as Zimmer Biomet believes it is required to retain such information for the purpose of providing financial and other information to Investor, or as long as dictated by Zimmer Biomet's document retention policy or requirements of the Securities and Exchange Commission, other national or state securities regulatory agencies or applicable laws. The Personal Information may also be stored on a Zimmer Biomet database to enable Zimmer Biomet to respond to any inquiries by such agencies, or to provide customer service to the Investor and for no other purpose.
Zimmer Biomet uses pixels, or transparent GIF files, to help manage online advertising. These GIF files are provided by our ad management partner, DoubleClick. The files enable DoubleClick to recognize a unique cookie on your Web browser, which in turn enables us to learn which advertisements bring users to our Website. The cookie was placed by us, or by another advertiser who works with DoubleClick. With both cookies and Spotlight technology, the information that we collect and share is anonymous and not personally identifiable.
