("Zimmer Biomet") may collect data from Investors that Investors provide to us by voluntarily registering through this web site, such as name, postal address, e-mail address, telephone number, and other personal information. The information we collect is used to improve the content of our web site, and may be used to contact the Investor from time to time, via e-mail or by regular mail, to provide Investors with information that we believe may be of interest to Investors. We will not sell or transfer the personal information sent to us to others outside our company. All information that is not personal to the Investor or someone else, such as questions, comments, ideas and suggestions, shall be deemed to be non-confidential, and Zimmer Biomet shall be free to disclose and use the same, without any obligation whatsoever towards the Investor, for any purpose and through any means. Registered Investors may have access to personal information at any time to revise, correct, or delete it by the procedures detailed below. If at any time an Investor does not wish us to make contact or if an Investor has any questions concerning our Privacy Policy, please feel free to contact us. By choosing to send a message to Zimmer Biomet, each Investor acknowledges that all non-personal information contained in the message, including feedback data, such as questions, comments, suggestions, or the like (collectively "Feedback") will be considered to be non-confidential. Zimmer Biomet shall have no obligations of any kind with respect to such Feedback, and shall be free to reproduce, use, disclose, exhibit, display, transform, commercialize, create derivative works and distribute the Feedback to others without limitation. Further, Zimmer Biomet shall be free to use any ideas, inventions, concepts, know-how or techniques contained in such Feedback for any purpose whatsoever, including, but not limited to, developing, manufacturing and marketing products incorporating such Feedback. This Privacy Policy does not cover aggregated data from which the identity of an individual cannot be determined, or information that is available from a public source, such as a telephone directory. Under no circumstances should an Investor use our web site, or any of the fax and mailing addresses on the web site, to send Zimmer Biomet confidential or proprietary information. Zimmer Biomet does not want to receive such confidential or proprietary information. Data which is not personal, including questions, comments, ideas, and suggestions shall be deemed to be non-confidential, and Zimmer Biomet shall be free to disclose and use the same, without any obligations whatsoever towards any Investor, for any purpose and through any means. Although accessible by others, the intent of Zimmer Biomet in displaying "Job Opportunities" on our Website is to display employment opportunities within the United States of America. This site links to other sites maintained by our various operating divisions and subsidiaries, some of which are outside the U.S. These sites may have information that is applicable only to the particular originating country or region where the site is based. "Collection" means any and all information obtained from the Investor for the purpose of providing the financial and other information of Zimmer Biomet. Collection also means any and all information obtained about the Investor from other third party sources for the purpose of tailoring the Investor Relations web site to the preferences of the Investor.

"Consent" means voluntary agreement with the collection, use, retention and disclosure of information for the purposes for which Investor registered for Zimmer Biomet's Investor Relations Website. Express Consent is obtained explicitly, in writing, from the Investor.

"Disclosure" means making available Personal Information and business information about the Investor to third party government agencies or organizations outside of Zimmer Biomet.

"Investor" means any institution or individual that has registered or interacted with Zimmer Biomet's Investor Relations Website.

"Organization" means a business, financial institution, association, partnership, person, or trade union.

"Personal Information" means any information about the Investor, recorded in any form, that is identifiable to an individual either directly or by inference from the information.

"Transfer" means filing or otherwise transferring Personal Information and business information from the Zimmer Biomet Investor Relations Website to another Zimmer Biomet location, from a Zimmer Biomet location to a Zimmer Biomet business affiliate, from the Zimmer Biomet Investor Relations web site to a financial information provider, or through any outside internet service providers, for the purposes consented to by the Investor.

"Use" means the tabulation of information obtained from the Investor and other third party sources, as well as the recordation of an Investor's interaction with the Zimmer Biomet Investor Relations Website.

Purpose: The primary purpose for the collection, use and transfer of an Investor's Personal Information by Zimmer Biomet, its employees, and representatives, is to obtain all pertinent and necessary information for providing financial and other information to the Investor.

Collection: Personal Information will be collected, to the extent possible, directly from the Investor. Where Personal Information is not available from the Investor, but may be obtained from a financial institution, government agency, or other third party source, Personal Information may be collected from those sources. Personal Information that is collected from, and about, the Investor is limited to only that information that is required by our information provider.

Use and Transfer: Personal Information that is collected via Zimmer Biomet's Investor Relations Website will be transferred from Zimmer Biomet's web host to Zimmer Biomet's financial information provider. Personal Information that is collected in the interaction with an Investor also will be transferred to Zimmer Biomet for its internal business purposes. Personal Information also will be transferred to an advertising management partner (see DoubleClick Disclosure below). The Personal Information is not otherwise used or disclosed to any third party organizations for any reason outside the purposes stipulated above. Any data that is aggregated for statistical or business monitoring purposes will be rendered anonymous so as not to be identifiable to the Investor.

When an Investor registers with Zimmer Biomet's Investor Relations Website, the Investor consents and agrees to the following:

a. Zimmer Biomet may collect, use, retain, disclose and/or transfer all Personal Information about the Investor for the purposes set out above;

b. The Investor has a right to access or correct data collected by Zimmer Biomet;

c. The Investor accepts the risks that may be associated with electronic transmission of Personal Information when interacting with the Zimmer Biomet Investor Relations Website;

d. Zimmer Biomet has the right to disclose Personal Information about the Investor in response to a subpoena, court order or other legal process.

Zimmer Biomet endeavors to maintain physical, procedural and technological security at its offices, its web sites, and information storage facilities to prevent any loss, misuse, unauthorized access, inadvertent disclosure or modification of Personal Information.

Zimmer Biomet further protects Personal Information obtained through the Investor Relations web site by restricting access to such Personal Information to those employees that have authorized access in order for Zimmer Biomet to provide services to its Investors. Zimmer Biomet has a policy under which employee misuse of Personal Information is treated as a serious offense for which disciplinary action may be taken.

Regarding electronic transmission of Personal Information during the Investor's registration and use of the web site, there is no method of transmitting or storing data that is completely secure. Although Zimmer Biomet uses all reasonably available technological security in the transmission of information to and from Investors, all Internet transmissions are susceptible to possible loss, misrouting, interception and misuse. Before Personal Information is transferred or disclosed by electronic transmission, consent to such means of transfer will be sought from the Investor.

To protect against fraudulent requests for access, Zimmer Biomet will require sufficient information or proof of identification from the Investor before granting access or making corrections to the Investor's Personal Information.

Zimmer Biomet reserves the right to refuse access to Personal Information about an Investor where the information requested:

a. Concerns another individual or Zimmer Biomet Investor and no consent has been granted by that Investor for such access;

b. May harm or interfere with law enforcement activities and other investigative functions of a body authorized by statute to perform such functions;

c. Is subject to attorney-client or litigation privilege; or

d. Does not exist, is not held, or cannot be found by Zimmer Biomet.

Where Personal Information will not or cannot be disclosed, the Investor making the request will be provided with reasons for the non-disclosure within 30 days after receipt of the request and confirmation of the Investor's identity.

Zimmer Biomet reserves the right to decline to respond to repetitious or vexatious requests for access. In determining whether a request is repetitious or vexatious, Zimmer Biomet will consider such factors as the purpose for which the Personal Information was collected and used, the nature of the information being requested by the Investor, and the frequency with which the Investor repeats the same or similar access request.

Where an Investor requests deletion of Personal Information held by Zimmer Biomet, Zimmer Biomet reserves the right to refuse such a request to the extent that its retention of Personal Information is required by the Securities and Exchange Commission, other national or state securities regulatory agencies or applicable laws.

Zimmer Biomet endeavors to ensure that any Personal Information provided by its Investors and in its possession is accurate, current and complete as necessary for the purposes for which the Personal Information is used and transferred. To correct or update Personal Information, please access your personal information here.

Any concern or complaint by an Investor about Zimmer Biomet's or an employee's management of an Investor's Personal Information should be directed to Zimmer Biomet Investor Relations. All complaints received will be investigated promptly and the Investor will be advised of the results of the investigation. Where corrective or disciplinary action is indicated by the investigation, Zimmer Biomet will take such corrective and/or disciplinary action promptly.

The Parties agree that any claim or dispute relating to this Privacy Policy, or any other matters, disputes, or claims between us, shall be subject to non-binding mediation if agreed to by you and us within 30 days of you or us making a request to the other by letter. Any such mediation will be held in the federal judicial district or other territory in which you reside, and shall be conducted according to the mediation rules of the National Arbitration Forum.

Whether or not mediation is requested by any party, any claim, dispute or controversy between us or arising from or relating to this agreement or the relationships which result from this Privacy Policy, including the validity of this arbitration clause or the entire Privacy Policy, including any that remain unresolved 120 days after an agreement for mediation, shall be resolved by binding arbitration by the National Arbitration Forum, under the Code of Procedure then in effect. Any award of the arbitrator(s) may be entered as a judgment in any court having jurisdiction. In the event a court having jurisdiction finds any portion of this agreement unenforceable, that portion shall not be effective and the remainder of the agreement shall remain effective. Information may be obtained and claims may be filed at any office of the National Arbitration Forum, or by mail at P.O. Box 50191, Minneapolis, MN 55405. This agreement shall be governed by and interpreted under the Federal Arbitration Act, 9 U.S.C. Sections 1-16.

The Parties acknowledge that they had a right or opportunity to litigate disputes through a court in front of a judge or jury, but that they preferred to resolve any disputes through arbitration.

With respect to the cost of the arbitration, when an Investor initiates arbitration against Zimmer Biomet, the Investor will be required to pay the Consumer Complaint filing fee and one-half the fee for a Participatory Hearing, up to a total of $250. All other costs of the arbitration, excluding attorneys' fees, if any, incurred by Investor, shall be borne by Zimmer Biomet as a Consumer Complaint. Investor may, at his or her expense, hire an attorney to represent him or her during the mediation and/or arbitration process.

Zimmer Biomet retains Personal Information as long as Zimmer Biomet believes it is required to retain such information for the purpose of providing financial and other information to Investor, or as long as dictated by Zimmer Biomet's document retention policy or requirements of the Securities and Exchange Commission, other national or state securities regulatory agencies or applicable laws. The Personal Information may also be stored on a Zimmer Biomet database to enable Zimmer Biomet to respond to any inquiries by such agencies, or to provide customer service to the Investor and for no other purpose.

The files enable DoubleClick to recognize a unique cookie on your Web browser, which in turn enables us to learn which advertisements bring users to our Website.
